An Extraordinary General Me是舊eting (the “EGM”) of China Goldjoy 河照Group Limited (th如匠e “Company” and together wit車開h its subsidiaries, the “Gr河光oup”) was successfully held in Lippo Ce女舊ntre, No. 89 Queensway, Hong化小 Kong on 30 May 2018. T中兵he meeting was chaired by厭看 Mr. Li Minbin, an 民的Executive Director of the Compa場靜ny. Mr. Lee Kwan Hung東大 and Professor Lee K讀秒wok On, Matthew, the Independent No身弟n-Executive Directors, atten如作ded the EGM and體家 responded to the questions raised b黃村y investors.
The ordinary resolution relates t厭算o the approving, confirming and日冷 ratifying the Sale and Pu道道rchase Agreement dated 23 April 20大爸18 and all the transactions contemplate問的d thereunder, entered into between 哥空Laihua Taisheng Li好數mited ( the “Purchaser”歌劇), an indirect wholly-owned subsidiary人東 of the Company, and Lai Hua Propertie書分s and Investment Limited (the “Vendor”)行弟, pursuant to which the Purchaser agre南話ed to acquire 100% of the equ慢器ity interest in Laihua Taifeng Limited時男 (the “Target Company”) from the Vendor光拿 at a total con中志sideration of RMB 660,000,000. The愛大 above resolution was 是樹duly passed as an ordina請時ry resolution with 99.86% of the化暗 votes casted in favour of it.
The Target Company holds a 綠月property development project in the黑銀 name of Taigu P關行laza, in Zhangjiang N為信ew District, Ganzho少短u City, Jiangxi Provinc資醫e of PRC with a site area of approxima身飛tely 51,950 sqm, o書刀f which the saleable area is ap兒嗎proximately 239,646 sqm. The 照書Target Company intends to hold the la房票nd construction area弟唱 of approximately 22,727 sqm for comm車光ercial use, approximately 29,669 sqm 爸土for hotel use and the remainin河金g part of the land厭廠 under the Project will be f站術or sale or leased out.
