The 2018 Annual General Meeting (the “窗站AGM”) of Glory Sun Financial Group L快制imited (the “Company” and together wit地業h its subsidiaries地做, the “Group”) w近物as held at 10/F., Uni問請ted Centre, 95 Queens畫家way, Admiralty, Hong Kong 秒聽on 30 May 2019. The AGM was場微 chaired by Mr. Lau Wa嗎通n Po, the Vice Chairman of the Board o就身f Directors of the Company. Mr.畫北 Li Minbin and Mr. Huang Wei, Executiv匠制e Directors of the Company; Mr. C服她hen Kaiben, Non-Execu兒站tive Director of the Company; Mr.東哥 Wong Chun Bong, P行來rofessor Lee Kwo在姐k On, Matthew and Mr. Lee Kwan Hung, 男人Independent Non-Executive Director市姐s of the Company; Mr. Ho Ka Yiu Si家書mon, the Chief Financial Officer &am小問p; Company Secretary of the Co山城mpany and the Represe生老ntative from BDO Limited妹大 (“BDO”), an independent鄉機 auditor of the Comp國員any attended the AGM. The resolutions of the AGM of the Comp音不any include (1) to recei開房ve and adopt the 你懂audited consolidated financial statem風坐ents and the reports of the dir林好ectors and the independent a聽湖uditor of the Company for the藍亮 year ended 31 Decembe路報r 2018 (the “Year”)他火; (2) to declare a final dividend of 就湖HK$0.20 cent per share for the Y下跳ear; (3) to re-理個elect retiring directors 分照of the Company; (4) to a靜開uthorize the Board of Director物亮s of the Company to fix the rem線坐uneration of the directors of the Compa現吃ny; (5) to re-appoint BDO as auditor理話 of the Company and authorize the B姐離oard of Directors of the Company to fix下司 its remuneration;下多 (6) to grant a ge小了neral mandate to the directors o家白f the Company to allot, issue or otherw一內ise deal with the Company’s sha笑廠res; (7) to grant a general mandate to計司 the directors of the Com民雨pany to buy back the Company’s s村去hares. As more than 50% of the vot懂金es were casted in favour of t信村he above resolutions區樂, they were duly passed as ordina為區ry resolutions of the Company.
